These general terms (the "Terms") govern access to and use of the kewos.eu website and the Kewos services, published by [COMPANY NAME TO BE COMPLETED] ("Kewos"). By using the service, the customer (the "Customer") accepts these Terms.
1. Purpose
Kewos provides a modular business management software (ERP), available as a hosted SaaS or deployed on-premise under licence. These Terms set out the parties' rights and obligations.
2. Access
SaaS access requires an account and a subscription. Kewos uses its best efforts to ensure availability; the applicable service level (SLA) is set out in the contract or order form: [SLA TO BE COMPLETED].
3. Accounts and security
The Customer is responsible for the confidentiality of its credentials and for actions performed under its account. Any fraudulent use must be reported without delay.
4. Subscriptions, pricing and billing
Prices are stated in the quote or order form. Unless otherwise agreed, SaaS subscriptions are billed [FREQUENCY TO BE COMPLETED] and payable on receipt of invoice. On-premise licences are subject to a separate fee. Price revision terms are set out in the contract.
5. On-premise licence
In on-premise mode, Kewos grants the Customer a non-exclusive, non-transferable licence for the term and scope set out in the contract. The licence may be bound to a hardware fingerprint and require periodic verification.
6. Customer data
The Customer remains the owner of its data. Processing is described in the privacy policy. In SaaS mode, data is hosted in Europe with one isolated database per customer.
7. Intellectual property
The Kewos software, trademark and documentation remain the exclusive property of Kewos. Nothing herein transfers any intellectual property rights to the Customer.
8. Availability, maintenance and support
Kewos may perform maintenance, announced where possible. Support is provided according to the subscribed level.
9. Liability
Kewos is bound by a best-efforts obligation. Its liability is limited as set out in the contract and [LIABILITY CAP TO BE COMPLETED]. Kewos shall not be liable for indirect damages.
10. Term and termination
Term, renewal and termination conditions are set out in the contract. On termination of a SaaS contract, the Customer may retrieve its data in a usable format ([REVERSIBILITY TERMS TO BE COMPLETED]).
11. Governing law and jurisdiction
These Terms are governed by French law. Any dispute falls under the competent courts of [CITY TO BE COMPLETED], unless mandatory provisions state otherwise.
